Booking Terms and Conditions

Applies to: All organisations and individual learners booking or enrolling on training or qualification programmes with Blackthorn Horizon.

1. Definitions

“Client” and “Customer” means the organisation or individual booking or purchasing training or qualifications from Blackthorn Horizon. “Blackthorn Horizon” refers to Ryan Simpson T/A Blackthorn Horizon. “Training”means any face-to-face or virtual course, workshop, or programme delivered by Blackthorn Horizon. “Qualification”means a regulated learning programme delivered and assessed by Blackthorn Horizon under awarding body requirements.“Delegate” or “Learner”means an individual attending a training course or enrolled on a qualification.

2. Scope of Services

Blackthorn Horizon provides professional training courses, leadership programmes, accredited qualifications and related subjects. Courses may be delivered face-to-face or virtually. All bookings and enrolments are subject to these Terms and Conditions unless otherwise agreed in writing.

3. Bookings and Confirmation

3.1. Bookings must be confirmed in writing (by email, booking confirmation form, purchase order or by acceptance of our quote).
3.2. A booking is confirmed once acknowledged by Blackthorn Horizon.
3.3. Blackthorn Horizon reserves the right to decline a booking at its discretion.

4. Fees, Payment, and Invoicing

4.1 Fees are as stated in the proposal, quotation, or booking confirmation.
4.2 Full Payment is due immediately on course booking. Payment is required in full prior to the course or qualification start date unless otherwise agreed in writing. Any agreed payment instalment plan will cease on course cancellation and the full fee will be due immediately.
4.3 Invoices are issued upon booking confirmation.
4.4 Any queries concerning an invoice must be raised within 7 days of the invoice date.
4.5 Blackthorn Horizon reserves the statutory right to charge interest and recovery costs on overdue accounts under the Late Payment of Commercial Debts (Interest) Act 1998.
4.6 Blackthorn Horizon reserves the right to withhold access to training, assessment results, or certification until all payments have been received.

5. Cancellations, Rescheduling and Termination

5.1 All cancellation or rescheduling requests must be made in writing (email is acceptable).
5.2 The following charges apply for cancellations by the Client:

Cancellations made at least 28 days before the course date will incur no cost other than any costs incurred regarding travel, design and/or administrative costs.

5.3. In the case of non-funded courses, substitutions of delegates are permitted at any time without charge (with the exception of section 8).
5.4 For regulated qualifications or courses involving pre-purchased items (e.g. registration payment to the awarding body), any non-recoverable costs will be charged in addition to the above.
5.5 If Blackthorn Horizon must cancel or reschedule, an alternative date or full refund will be offered.
5.6 Either party may terminate this agreement with immediate effect if the other party commits a material breach of these Terms and Conditions.
5.7 Upon termination, the Client will pay all outstanding fees and any reasonable costs incurred by Blackthorn Horizon up to the termination date.

6. Qualification-Specific Terms

6.1 Learners enrolled on regulated qualifications must meet the required eligibility and evidence criteria.
6.2 All Qualifications are delivered and assessed in accordance with the standards of the relevant awarding organisation.
6.3 Learners are expected to complete assessments, portfolios, and observations within agreed timescales.
6.4 Failure to engage or complete within agreed timeframes may result in withdrawal without refund.
6.5 Replacement certificates (for lost or damaged originals) may incur an administrative fee.

7. Course Delivery

7.1. Blackthorn Horizon delivers all training and qualifications using appropriately qualified and experienced trainers and assessors.
7.2. The Client must ensure suitable facilities, equipment, and access for training sessions.
7.3. Blackthorn Horizon may adjust course content, schedule, or trainer allocation where necessary to maintain quality or compliance.

8. Multi-Session Leadership (and other) Programmes and Attendance

8.1. Leadership and development programmes delivered by Blackthorn Horizon typically run over multiple sessions or cohorts.
8.2. Learners are expected to attend all scheduled sessions within their allocated cohort.
8.3. If a learner is unable to attend one or more sessions and wishes to transfer to a different cohort:
   – The Client must request the change in writing to Blackthorn Horizon
– Any transfer will be subject to availability and approval by Blackthorn Horizon.
   – If approved, the Client is responsible for managing the change by ensuring that the correct Zoom / Teams link(s) or attendance details (as provided) are shared with the learner directly.
8.4. Blackthorn Horizon is not responsible for chasing non-attending learners or coordinating attendance changes once the booking has been confirmed.
8.5. Responsibility for monitoring attendance and learner participation rests with the Client or commissioning organisation.
8.6 Blackthorn Horizon will provide a register of attendance to the Commissioner.

9. Intellectual Property

9.1. All course content, materials, handouts, presentations, and assessment tools remain the copyright of Blackthorn Horizon.
9.2. Materials must not be copied, reproduced, or distributed without prior written consent.

10. Disclosure and Confidentiality

10. 1 The Client warrants that all information provided to Blackthorn Horizon is accurate and may be lawfully used for the purposes of delivery.
10.2 Blackthorn Horizon will not disclose confidential information relating to the Client’s business or learners without written consent, except where required by law or regulatory body.

11. Non-Solicitation of Trainers and Assessors

11.1. The Client agrees not to offer employment, freelance work, or consultancy to any trainer, assessor, or associate of Blackthorn Horizon during delivery or within 12 months thereafter.
11.2. Breach of this clause will result in a charge equal to six months of the trainer’s average earnings with Blackthorn Horizon.

12. Professional Standards and Liability

12.1. Blackthorn Horizon exercises reasonable skill and care in all services.
12.2. Blackthorn Horizon’s total liability shall not exceed the total fees paid for the specific course or qualification.
12.3. Blackthorn Horizon shall not be liable for indirect, consequential or financial loss.
12.4. Blackthorn Horizon maintains Public Liability and Professional Indemnity Insurance.

13. Data Protection

13.1. Blackthorn Horizon complies with the UK GDPR and the Data Protection Act 2018.
13.2. Learner and Client data are used only for the administration, delivery, and certification of training and qualifications.
13.3. Personal data will not be shared with third parties except where required by law or awarding body regulation.
13.4. Blackthorn Horizon may use anonymised feedback for quality assurance and reporting.

14. Force Majeure

Blackthorn Horizon shall not be liable for failure to perform obligations where such failure results from circumstances beyond its control, including illness, extreme weather, power or internet failure, or government restrictions.

16. Acceptance of Terms

By confirming a booking or enrolment, the Client or individual learner acknowledges that they have read, understood, and agreed to these Terms and Conditions.
